This Data Processing Addendum ("DPA") forms part of the agreement between KINETIX INTELLIGENCE LLC ("Processor," "we," "us," or "our") and the business entity using our Services ("Controller," "you," or "your").
This DPA applies whenever Kinetix Intelligence processes Personal Information on behalf of a client in connection with the Services and supplements our Terms of Service and Privacy Policy.

Definitions
- "Applicable Privacy Laws" means all applicable privacy and data protection laws governing the processing of Personal Information, including applicable U.S. state privacy laws and any other applicable regulations.
- "Personal Information" means information that identifies, relates to, describes, or could reasonably be linked to an individual.
- "Process" or "Processing" means any operation performed on Personal Information, including collection, storage, use, transmission, disclosure, analysis, modification, deletion, or destruction.
- "Services" means the products and services provided by Kinetix Intelligence, including reputation management services, review request software, websites, CRM functionality, marketing automation, communication tools, customer support services, artificial intelligence features, and related offerings.
Roles and Scope
You are the Controller of Personal Information you submit to the Services regarding your customers, prospects, employees, or other contacts.
Kinetix Intelligence acts as a Processor or Service Provider and processes Personal Information solely to provide the Services, comply with legal obligations, or as otherwise permitted under our agreement.
Processing Instructions and Restrictions
Kinetix Intelligence will process Personal Information only:
- To provide the Services;
- To maintain, secure, and improve the Services;
- To comply with legal obligations;
- As otherwise instructed by the Controller and permitted by law.
Kinetix Intelligence does not sell Personal Information and does not use Personal Information for purposes unrelated to providing the Services.
Confidentiality
Kinetix Intelligence requires employees, contractors, and authorized personnel with access to Personal Information to maintain appropriate confidentiality obligations and access controls.
Subprocessors
Controller authorizes Kinetix Intelligence to engage third-party service providers that assist in providing the Services.
These providers may include:
- GoHighLevel
- Cloud hosting providers
- Payment processors
- SMS and communication providers
- Email delivery providers
- Analytics providers
- Artificial intelligence providers
- Customer support providers
Kinetix Intelligence remains responsible for ensuring subprocessors are engaged under appropriate contractual safeguards.
Security Measures
Kinetix Intelligence maintains reasonable technical and organizational safeguards designed to protect Personal Information against unauthorized access, disclosure, alteration, loss, misuse, or destruction.
Safeguards may include:
- Encryption in transit
- Access controls
- Authentication protections
- Monitoring and logging systems
- Vendor security reviews
- Incident response procedures
Consumer Rights Requests
To the extent required by law, Kinetix Intelligence will reasonably assist Controllers in responding to requests involving:
- Access requests
- Correction requests
- Deletion requests
- Data portability requests
- Privacy rights requests
Where legally permitted, requests submitted directly to Kinetix Intelligence may be redirected to the applicable Controller.
Data Retention and Deletion
Kinetix Intelligence retains Personal Information only as long as reasonably necessary to provide the Services, comply with legal obligations, resolve disputes, enforce agreements, and maintain backups.
Upon termination of Services and subject to applicable legal requirements, Personal Information may be deleted, anonymized, archived, or returned to the Controller where feasible.
Audit Rights
Upon reasonable written request and subject to confidentiality obligations, Kinetix Intelligence may provide information reasonably necessary to demonstrate compliance with this DPA.
Kinetix Intelligence is not obligated to disclose confidential security information, trade secrets, source code, or information that could compromise system security.
International Data Transfers
Personal Information may be processed and stored within the United States and other jurisdictions where Kinetix Intelligence or its service providers operate.
Where required by applicable law, Kinetix Intelligence will implement reasonable safeguards for cross-border transfers of Personal Information.
Liability
Liability arising from processing activities under this DPA shall be governed by the liability limitations, exclusions, and dispute resolution provisions contained within the Kinetix Intelligence Terms of Service.
